Public offer for activation of a digital purchase

This document is an official offer (ИП Маджидов Андрей Махаевич, hereinafter the "Provider", brand XBAY) to enter into a contract for an additional service of transferring a digital purchase to the main Microsoft account (the "Transfer Service") on the terms set out below.
The Transfer Service is provided to buyers who purchased a digital product through a partner marketplace (including Yandex Market) and received sign-in details for an issued Microsoft account with the purchased game. The main sale of the digital product is made on the marketplace; this offer governs only the free additional Transfer Service.

1. Terms
“Buyer” means a natural person who placed an order for a digital product and received access to the transfer page through a personal link from the order.
“Issued account” means the Microsoft account on which the Provider or its partners placed the purchase of the digital product for delivery to the Buyer.
“Buyer’s main account” means the Microsoft account that belongs to the Buyer and to which the digital purchase is transferred.
“Digital purchase” means a Microsoft Store license for a game or a game pre-order that is subject to transfer under the Service.
2. Subject of the contract
At the Buyer’s request, the Provider provides the Transfer Service: it transfers the right to use the Digital purchase from the Issued account to the Buyer’s main account with no additional payment by the Buyer.
The Transfer Service does not replace and does not change the terms of the main purchase on the marketplace. The Buyer may use the Issued account without a transfer, unless the order instructions provide otherwise.
3. How the Service is performed
For the transfer, the Provider, using technical means, initiates a refund of the Digital purchase on the Issued account in Microsoft and a subsequent purchase of the same product on the Buyer’s main account. In some cases, completing the purchase may require the Buyer to take part briefly in a Microsoft family group — the Buyer receives an invitation link on the transfer page.
After a successful transfer, the Digital purchase remains only on the Buyer’s main account and ceases to be available on the Issued account in its previous form. The Issued account is returned to the Provider: the Buyer’s access to the Issued account ends, and the account credentials (login and password) cease to be valid for the Buyer. The Buyer accepts and agrees that the subject of the purchase is the Digital purchase (the game license), and not the Issued account, which is used only as a technical means of delivery.
The Provider may choose a technically available way to place the repeat purchase (including through a family group or by linking a payment instrument) without making the end result worse for the Buyer — the game being present on the main account.
4. Conditions for providing the Transfer Service
The Provider provides the Transfer Service when the following conditions are met at the same time, including but not limited to:
- no more than 14 calendar days have passed since the original purchase in the Microsoft Store on the Issued account;
- the game has not been launched, or only an insignificant amount of time has been played in it — the final decision is Microsoft’s refund policy; if Microsoft refuses the refund, the transfer is impossible;
- the product is of the type “game” or “pre-order” and has not already been successfully transferred for this order item;
- the order on the marketplace has not been cancelled and has not been refunded;
- the Buyer’s main account does not already contain a purchased copy of the same product;
- Microsoft’s technical checks (including availability of the product in the Store) have completed successfully;
- the cost of the repeat purchase does not exceed the threshold set by the Provider (protection against loss if the price changes).
5. Procedure for providing the Service
The Buyer follows the personal link from the order, reads the transfer conditions, this offer, and the privacy policy, signs in through Microsoft on the main account, and, where needed, confirms access to the Issued account.
The Buyer selects the order items available for transfer and starts the process. Pressing the button that starts the transfer, with agreement to the offer and the privacy policy checked, is acceptance of this offer.
The Provider shows the transfer status on the order page. If there is a technical failure, the Provider will take reasonable steps to complete the Service or will notify the Buyer that they need to contact support.
6. Duties and warranties of the Buyer
The Buyer confirms that the main Microsoft account belongs to them, that they have the right to dispose of it, and that they accept Microsoft’s terms for digital content.
Until the transfer is complete, the Buyer undertakes not to change the password on the Issued account, not to turn on two-factor authentication, and not to change recovery bindings on the Issued account, if that could interfere with providing the Service.
The Buyer grants the Provider the technically necessary permissions through Microsoft OAuth solely for the purpose of providing the Transfer Service for the selected order items.
The Buyer may at any time revoke the Microsoft permissions granted to the service on the consent management page https://account.live.com/consent/manage. Revoking the permissions after the Transfer Service has been provided does not affect the result of transferring the Digital purchase to the Buyer’s main account.
After the transfer is complete, the Buyer undertakes to stop using the Issued account and not to try to restore access to it. The Issued account is not the Buyer’s property and is returned to the Provider.
The Buyer may not use the Transfer Service to circumvent Microsoft’s restrictions or the marketplace rules, or to transfer again a purchase that has already been transferred.
7. Price and settlement
The Transfer Service is provided to the Buyer free of charge. The Provider charges no additional payment for the transfer.
The Buyer bears the cost of Internet access and of complying with Microsoft’s requirements on their own.
8. Limitation of liability
The Provider does not guarantee that a transfer will be available if Microsoft refuses the refund (including because of play time), blocks an account, changes the Store rules, or the product is technically unavailable.
The Provider is not liable for the actions of Microsoft, for failures on the side of Microsoft or the marketplace, or for the consequences of the Buyer’s breach of the duties in section 6.
The Provider’s liability under this offer is limited to the amount of direct proven damage and cannot exceed the price of the corresponding order item on the marketplace, unless mandatory rules of the laws of the Russian Federation provide otherwise.
9. Personal data
Processing of personal data while the Service is provided is governed by the Privacy Policy published at https://xbay.store/legal/privacy. By accepting the offer, the Buyer confirms that they have read that policy.
10. Term of the offer and changes
The offer remains in effect for an indefinite term until the Provider withdraws it. The Provider may change the terms of the offer; a new edition takes effect when it is published on the site, unless the text states a different time.
The laws of the Russian Federation apply to the parties’ relations. Disputes are resolved by negotiation and, if no agreement is reached, in court at the Provider’s place of registration, taking into account the consumer’s right to apply at their place of residence.
